These Terms of Service constitute a legally binding agreement between you and Marvello ("Company," "we," "us," or "our") concerning your access to and use of the Marvello platform and services. By accessing or using our platform, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you are prohibited from using or accessing this platform.

Acceptance of Terms

By creating an account, accessing, or using any part of our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

Account Registration and Security

To access certain features of our platform, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your password
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account
  • Not create multiple accounts or share your account credentials

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

Service Description

Marvello provides an AI-powered marketing platform that enables users to:

  • Generate on-brand marketing content, captions, and campaigns with AI
  • Create images and short-form video content tailored to your brand
  • Scan your website to instantly capture your tone, products, and identity
  • Publish directly to Meta, Instagram, Facebook, and more in one click
  • Schedule content and manage a full week of posts in minutes
  • Track performance analytics including reach, engagement, and conversions
  • Collaborate with your team and manage client approvals

Subscription and Pricing

Marvello offers subscription plans and usage-based pricing. Details of current plans and pricing are available on our pricing page. We reserve the right to modify pricing with 30 days' notice. Existing subscriptions will not be affected until the next billing cycle.

Payment Terms

  • All payments are processed securely through our third-party payment providers
  • You authorise us to charge your payment method for subscriptions and purchases
  • We accept major credit cards, debit cards, and other supported payment methods
  • Subscription fees are billed in advance on a recurring basis
  • Failed payments may result in suspension of access until payment is resolved

Intellectual Property Rights

Your Content

You retain full ownership of all content you upload and all AI-generated content created through Marvello. By using our service, you grant us a limited, non-exclusive licence to process, store, and display your content solely for the purpose of providing our services.

Platform Content

All platform content, features, functionality, trademarks, service marks, and logos are owned by Marvello and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our platform.

Commercial Licence

You may use AI-generated content produced through Marvello for:

  • Social media and digital marketing campaigns
  • E-commerce product listings and catalogs
  • Marketing and advertising materials
  • Print materials and publications
  • Commercial and business purposes
  • Client work and commercial projects

Prohibited Uses

You agree not to use the platform to:

  • Upload illegal, harmful, threatening, abusive, or offensive content
  • Violate any laws, regulations, or third-party rights
  • Upload images containing nudity, violence, or hate speech
  • Engage in automated scraping, data mining, or bot activity
  • Attempt to gain unauthorised access to our systems or networks
  • Interfere with or disrupt the platform or servers
  • Impersonate any person or entity or misrepresent affiliation
  • Upload malware, viruses, or other malicious code
  • Resell or redistribute our services without authorisation
  • Use the platform for illegal or fraudulent purposes

Content Moderation

We reserve the right to review, monitor, and remove any content that violates these Terms or is deemed inappropriate. We employ automated content moderation systems and manual review processes to ensure platform safety. Violations may result in content removal, account suspension, or termination.

Service Availability and Modifications

  • We do not guarantee uninterrupted or error-free service
  • Scheduled maintenance may temporarily affect service availability
  • We may modify, suspend, or discontinue features at any time
  • We are not liable for service interruptions or data loss
  • We will provide reasonable notice for significant changes when possible

Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF RESULTS. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT GENERATED CONTENT WILL BE ERROR-FREE OR OF SPECIFIC QUALITY.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARVELLO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Marvello, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

Account Termination

We reserve the right to terminate or suspend your account and access to the platform:

  • For violations of these Terms of Service
  • For fraudulent or illegal activity
  • For abuse of the platform or violation of fair use policies
  • At our discretion for any reason with reasonable notice

You may delete your account at any time through your account settings. Upon account deletion, any remaining subscription time or credits will be forfeited and cannot be refunded. We recommend exporting any content you wish to keep before deleting your account.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the platform shall be resolved through:

  • Good faith negotiation between the parties
  • Mediation if negotiation fails
  • Binding arbitration in accordance with applicable arbitration laws
  • Exclusive jurisdiction of courts of competent jurisdiction for non-arbitrable matters

Changes to Terms of Service

We reserve the right to modify these Terms at any time. We will provide notice of material changes through email or platform notifications. Your continued use of the platform after changes take effect constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.
